3. User Accounts and Eligibility

Account Creation

  • You must be at least 18 years old and have the legal capacity to enter into contracts
  • You must represent a legitimate business entity or be acting on behalf of one
  • You agree to provide accurate, current, and complete information during registration
  • You are responsible for maintaining the confidentiality of your account credentials

Account Responsibilities

  • You are responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorized access or security breaches
  • You may not share your account with others or allow multiple users to access a single account without proper authorization
  • You must keep your contact information current and accurate

4. Service Plans and Pricing

Subscription Models

Pricing and Billing

  • All fees are stated in USD unless otherwise specified
  • Subscription fees are billed in advance on a monthly or annual basis

  • All fees are non-refundable except as expressly stated in these Terms

Payment Terms

  • Payment is due within 30 days of invoice date unless otherwise agreed
  • Late payments may incur interest charges of 1.5% per month
  • We reserve the right to suspend services for non-payment after 15 days notice
  • You are responsible for all taxes related to your use of the Service

5. Acceptable Use Policy

Prohibited Uses

  • You grant us a limited license to use your content to provide the Service
  • You represent that you have the right to provide all content and data submitted

AI-Generated Content

  • Content generated by our AI agents is owned by you as the client
  • We may use anonymized and aggregated data to improve our AI models
  • You are responsible for reviewing and approving AI-generated content before use

7. Data Privacy and Security

Data Protection

  • We collect and process data in accordance with our Privacy Policy
  • We implement industry-standard security measures to protect your data
  • You are responsible for maintaining the security of data you provide
  • We comply with applicable data protection laws including GDPR and CCPA

Data Ownership

  • You retain ownership of all data you provide to us
  • We may use anonymized, aggregated data for service improvement
  • Upon termination, we will return or delete your data as requested

8. Service Level Agreement

Availability

  • We target 99.5% uptime for our AI services (excluding planned maintenance)
  • Planned maintenance will be announced at least 24 hours in advance
  • We provide redundancy and backup systems to minimize downtime

Support

  • Business hours support (Monday-Friday, 9 AM – 6 PM EST)
  • Emergency support available for critical issues
  • Response times: 4 hours for critical issues, 24 hours for standard requests

Performance Standards

  • AI agents are designed to operate continuously within specified parameters
  • Human staff are subject to standard employment and performance requirements
  • We maintain quality assurance processes for all services

9. Limitation of Liability

Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

Exclusion of Damages

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, BUSINESS INTERRUPTION, OR LOSS OF DATA.

10. Indemnification

You agree to indemnify, defend, and hold harmless CommittedStaff.AI and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content or data you provide to us

11. Termination

Termination by You

  • You may terminate your account at any time with 30 days written notice
  • You remain responsible for all charges incurred through the termination date
  • Upon termination, your access to the Service will cease

Termination by Us

We may terminate your access immediately if you:

  • Breach these Terms or our policies
  • Fail to pay fees when due
  • Engage in fraudulent or illegal activities
  • Pose a security risk to our systems or other users

Effect of Termination

  • All rights and licenses granted to you will immediately cease
  • We will provide data export assistance for a reasonable period
  • Provisions that should survive termination will remain in effect

12. Dispute Resolution

Governing Law

These Terms are governed by the laws of Seattle,Washington, without regard to conflict of law principles.

Arbitration

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.

Class Action Waiver

You agree that any arbitration shall be conducted in your individual capacity only and not as a class action or other representative action.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes through:

  • Email notification to registered users

  • In-service notifications

Continued use of the Service after notification constitutes acceptance of the modified Terms.

14. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CommittedStaff.AI regarding the Service.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Assignment

You may not assign your rights under these Terms without our written consent. We may assign our rights at any time.

Force Majeure

We shall not be liable for any delay or failure to perform due to circumstances beyond our reasonable control.

No Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
